Governing Jurisdiction: Federal Democratic Republic of Nepal
These Terms and Conditions ("Agreement") constitute a legally binding agreement between you (“Affiliate”, “you” or “your”) and Hukut Pvt. Ltd. (“Hukut”, “we”, “us”, or “our”), a company registered under the laws of Nepal, with its principal office located in Kathmandu, Nepal.
By enrolling in the Hukut Affiliate Program, you agree to comply with and be bound by the terms of this Agreement.
1. Eligibility
- Must be at least 18 years old and legally capable under Nepali Contract Act, 2056 (2000).
- Compliance with Nepali law including:
- Electronic Transaction Act, 2063 (2008)
- Consumer Protection Act, 2075 (2018)
- Copyright Act, 2059 (2002)
- Cybercrime laws under Nepal Police and NTA regulations
- Hukut reserves the right to verify your identity for legal compliance.
2. Enrollment Process
- Applications are manually reviewed and subject to approval.
- We may reject applications promoting:
- Hate speech, violence, adult content, illegal activities
- Unethical or fraudulent behavior
3. Affiliate Link Usage & Promotion Guidelines
- Use only your unique referral links provided by Hukut.
- You must not:
- Mislead users about Hukut products
- Send SPAM emails
- Use unauthorized pop-ups or forced clicks
- Bid on branded keywords like “Hukut”
- Imitate Hukut employees or partners
4. Commission Structure & Payouts
- Commission rates vary by category (see your dashboard).
- A valid referral must:
- Click your link and purchase within 7-day cookie window
- Not be canceled, returned, or fraudulent
- Monthly payouts to your Nepali bank or approved wallet.
- Minimum payout: NPR 1,000
- TDS/VAT deductions per Nepali tax laws
5. Content Guidelines & Brand Compliance
- Use only Hukut-approved banners, creatives, and logos.
- No alteration of brand assets or misleading content.
- Follow Nepal’s Advertising Code of Conduct where applicable.
6. Intellectual Property
All product images, logos, trademarks, and content remain the property of Hukut. Unauthorized use beyond the affiliate scope may lead to legal action.
7. Term & Termination
- Effective from acceptance until terminated by either party.
- 7-day notice for regular termination. Immediate for:
- Fraud
- Legal violations
- Agreement breach
- On termination, remove all Hukut affiliate materials.
- Valid commissions before termination will be paid unless due to fraud.
8. Limitation of Liability
Hukut is not liable for indirect or special damages, including lost revenue. No guarantees on dashboard uptime or uninterrupted service.
9. Confidentiality
Non-public information (commission rates, tools, metrics) must remain confidential. Breach may result in termination and legal action under trade secret laws.
10. Dispute Resolution & Governing Law
- Governing Law: Nepal
- Disputes first resolved amicably within 14 days via correspondence
- Jurisdiction: Kathmandu District Court
- Optional arbitration under Arbitration Act, 2055 (1999)
11. Amendments & Notices
- Hukut may update terms with 7 days’ notice via email or dashboard.
- Continued use post-update indicates acceptance.
12. Miscellaneous
- No employment, joint venture, or agency is created.
- Accounts are non-transferable without consent.
- If any clause is unenforceable, the rest remain valid.
